Question

Rumi sends a message in a WhatsApp group consisting of several business owners, informing them that she wants to sell her printing machine for RM8,000 and asking anyone interested to contact her before Friday. Cathy contacts Rumi privately and states that she will buy the machine for RM7,000. Rumi replies, “RM7,000 is too low. I could let it go for RM7,800.” Cathy responds, “Would you consider RM7,500 if I collect it myself?” Rumi reads the message but does not respond. On Thursday, Cathy informs Rumi that she will pay the original RM7,800 and transfers RM1,000 as part payment. However, Rumi already agreed to sell the machine to Melo on Wednesday for RM8,500. Cathy claims that a binding contract exists because she already accepted the offer.

Separately, Rumi sees some of Kero’s design work and mentions that she hopes Kero might one day help her recreate the logo for her business. Kero takes Rumi’s comment seriously and, without any further discussion, designs a new logo for Rumi’s business. Upon seeing the completed design, Rumi agrees to pay Kero RM5,000 for his work. Rumi later refuses to pay, arguing that no payment was discussed before Kero completed the design.

Advise Cathy and Kero on their respective legal positions using the ILAC method, supported by relevant statutory provisions and case authorities under Malaysian law.

(a) Advise Cathy whether she has a contract with Rumi in relation to offer and acceptance.

(b) Advise Kero on whether he has a contract with Rumi in relation to consideration.

Guidelines:

Students should have the following structures in the written report:

  1. Decide issue(s) that involve in the case study,
  2. Describe the relevant principles of business law,
  3. Support the principles with relevant sections of legislation(s)/statutes(s) and cases
  4. Apply the said laws to the particular business scenario; and
  5. Advise the client accordingly.

Instructions  

1. The word count for this assessment should be +/- 10% of 1500 words.

2. Please use Times New Roman, font size 12 and 1.5 line spacing.

3. Students are to submit their assessment in Microsoft Word via Turnitin on or before 16th October 2026, 12pm.

4. Similarity index should NOT EXCEED 30%. A similarity index higher than 30% will result in the student being penalized either by mark deduction of up to 15% or in severe cases, zero mark being awarded and/or with any other penalty, in accordance with the regulations and procedures in force at Taylor’s College for this module.

5. Any similarities that arise from unavoidable or standard legal terms, case names, or common formatting such as cover page will be disregarded. In addition, the lecturer will manually review the similarity report and deduct matches arising from previous submissions to Taylor’s repository, which are often generated due to the use of the same cover page template.

6. Students may use generative AI tools for specific academic purposes, including brainstorming ideas for assignment and drafting initial versions of written work. However, students are not permitted to use generative AI to produce final submission or to complete core analytical components of assessments or assignments. An AI detection scores higher than 30% will result in the student being penalized either by mark deduction of up to 15% or in severe cases, zero mark being awarded and/or with any other penalty, in accordance with the regulations and procedures in force at Taylor’s College for this module.

7. Late submission- a late penalty will take the form of a deduction of 5% of the total mark per day up until a maximum period of five (5) days, after which time the assessment will be assigned zero marks.

8. Non-submission – Please note that non submission of this assessment is one of the conditions of ineligibility for re-sit assessment. Please refer to the Module Information Booklet.

9. Citing cases- When you first mention a case, you should give the full citation eg: Donoghue v Stevenson [1932] A.C. 562 (in italics). If you use the case another time, you can refer to the case by just using the name eg Donoghue v Stevenson (in italics).

10. If information contained in the assessment is not your own words or ideas, you must acknowledge the source within the text of the assessment as well as in the reference list.

11. A reference list or bibliography must be prepared at the end of the assessment to cite information sources. The types of references that you may use for your research includes:

a) Textbooks
b) Academic journal articles
c) Statutes/Acts of Parliament
d) Case law (decided cases)
e) Government publications/reports
f) Law Commission reports/policy papers
g) Professional or industry reports
h) Reputable websites
i) News articles from credible sources
j) Conference proceedings/seminar sources

12. All referencing must be in Harvard citation style.
